These Terms of Service ("Terms") govern your access to and use of ParticleSearch ("Service"), operated by ParticleSearch ("we", "us", "our"). By installing ParticleSearch on your Shopify store, you agree to these Terms. If you do not agree, do not install or use the Service.
ParticleSearch is a search application for Shopify stores. It connects to your Shopify store via OAuth, syncs your product catalog to our search index, and provides a fast, typo-tolerant search experience for your customers.

To use ParticleSearch, you must:
ParticleSearch is installed via Shopify's OAuth process. By authorizing the installation, you grant ParticleSearch read access to your product catalog and themes. We do not request or store write access to your store.

ParticleSearch offers a 14-day free trial. At the end of the trial period, you may subscribe to a paid plan or the Service will be deactivated. If you provide payment information during the trial, you authorize us to charge you at the end of the trial unless you cancel.
ParticleSearch uses usage-based pricing. You are billed based on one or more of the following usage metrics: search query volume, number of products (SKUs) indexed in your store, or product update events (webhooks received). Your plan includes a base allocation of usage per month. Usage beyond your plan limits is billed at the rates specified on our Pricing page at particlesearch.com/pricing. We may adjust pricing with 30 days' notice. If you disagree with a pricing change, you may cancel your subscription before the new pricing takes effect, and you will not be charged under the new pricing structure.
Billing is handled through Shopify's billing system or other authorized payment processors. By agreeing to a paid plan, you authorize the billing provider to charge your account per the agreed pricing. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
You may cancel at any time by uninstalling ParticleSearch from your Shopify store. Upon cancellation: Your OAuth token is immediately revoked, your product data is deleted from our systems within 30 days, no further charges will be applied after the end of the current billing period, and no refunds are issued for partial billing periods.
Your use of the Service is also governed by our Privacy Policy, available at particlesearch.com/privacy-policy. The Privacy Policy is incorporated into these Terms by reference.
Key points:
ParticleSearch, including its search algorithms, widget code, data pipeline, and all related technology, is our proprietary property. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service as described herein.
Your product catalog data, store information, and brand assets remain your property at all times. You grant us a limited, non-exclusive license to process and index your product data for the sole purpose of delivering the Service to you.
If you provide feedback, suggestions, or feature requests, you grant us the right to use that feedback without restriction or compensation. This does not affect your ownership of your store data.
We target high availability for the ParticleSearch Service. However, we do not guarantee any specific uptime SLA. We are not liable for:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING:
We do not warrant that the Service will increase your conversion rate, revenue, or any other business metric. Results vary based on store type, product catalog quality, and usage patterns.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARTICLESEARCH SHALL NOT BE LIABLE FOR:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO PARTICLESEARCH IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow limitations on liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless ParticleSearch and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: Your use of the Service in violation of these Terms, Your violation of any applicable law or third-party right, Inaccurate or misleading product data you provide to the Service, or Any dispute between you and your customers arising from your store's operations.
You may terminate your use of the Service at any time by uninstalling ParticleSearch from your Shopify store. Uninstallation constitutes termination of these Terms.
We reserve the right to suspend or terminate your access to the Service, with or without notice, if:
Upon termination, your access to the Service ceases immediately. We will delete your product data from our systems within 30 days. Sections 6, 8, 9, 10, and 12 of these Terms survive termination.
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation.
If negotiation fails, disputes shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent imminent harm. For merchants in the European Union, you may also have the right to submit a complaint to your local data protection authority.
We may update these Terms from time to time. When we make material changes, we will make reasonable efforts to notify active merchants by email at least 14 days before changes take effect. However, we may make changes immediately if required for security, legal compliance, or to prevent abuse.
Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must uninstall the Service before the effective date.
